    If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

    Skyvern provides an AI-powered browser automation platform that uses large language models ("LLMs") and computer vision technology to automate web-based workflows. The Services enable you to automate interactions with third-party websites, including form filling, data entry, navigation, and other web-based tasks.

    3.2 Automation Tool Only

    Skyvern is a software automation tool only. The Services are designed to execute instructions and data that you provide. We do not:

    • Provide immigration advice, consulting, or services;
    • Provide legal advice or legal services;
    • Provide financial, tax, or investment advice;
    • Provide medical or health-related advice;
    • Make decisions about form responses on your behalf;
    • Guarantee the accuracy of any automated submissions;
    • Guarantee the success of any application, form submission, or transaction; or
    • Act as an immigration consultant, notario público, or similar service provider.

    You are solely responsible for all decisions regarding the information submitted through our Services and for reviewing any automated output before final submission to third-party websites.

    • AI processing may produce unexpected results;

    • Ensuring that you exit from your account at the end of each session when accessing from shared devices.

    • Indemnify Skyvern for any claims arising from your violation of third-party terms.

    • You are solely responsible for understanding and complying with all applicable government requirements;
    • You should consult with licensed professionals (such as immigration attorneys) for advice on form completion; and
    • You are responsible for verifying all automated entries before final submission.

    6. Prohibited Uses

    You agree not to use the Services:

    • In violation of any applicable law or regulation;
    • To submit false, misleading, or fraudulent information;
    • To infringe upon or violate the rights of others, including privacy rights;
    • To access third-party accounts or systems without authorization;
    • To engage in any activity that interferes with or disrupts the Services or third-party systems;
    • To introduce malware, viruses, or other harmful code;
    • To circumvent any security measures or access controls;
    • To engage in unauthorized data scraping, harvesting, or collection;

    • To engage in any activity that could damage, disable, or impair our Services or any connected systems.

    7. Data and Privacy

    • Your data may be transmitted to and processed by third-party LLM providers (such as OpenAI and Anthropic);
    • Screenshots and recordings of automation sessions may be created and stored;
    • We may use anonymized or aggregated data for service improvement and model training; and
    • You may opt out of model training by contacting support@skyvern.com or through your enterprise agreement.

    7.3 Regulatory Compliance

    The Services are not designed or intended to comply with:

    • The Health Insurance Portability and Accountability Act (HIPAA);
    • The Gramm-Leach-Bliley Act (GLBA);
    • The Federal Information Security Management Act (FISMA); or
    • Industry-specific compliance frameworks requiring specialized data handling.

    You are responsible for determining whether your use of the Services complies with applicable regulatory requirements.

    8. Intellectual Property

    8.1 Skyvern IP

    The Services, including all software, algorithms, AI models, user interfaces, designs, documentation, and all related intellectual property, are owned by Skyvern or its licensors. These Terms do not grant you any rights to our intellectual property except for the limited license to use the Services as provided herein.

    8.2 Trademarks

    The Skyvern name, logo, and all related product and service names are trademarks of Ikonomos Inc. You may not use these marks without our prior written consent.

    8.3 Your Content

    You retain ownership of all data and content you submit through the Services ("Your Content"). By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and transmit Your Content solely for the purpose of providing and improving the Services, subject to our Privacy Policy.

    8.4 Feedback

    If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, fully paid-up license to use such Feedback for any purpose without compensation or attribution to you.

    9. Fees and Payment

    9.2 Payment Terms

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SKYVERN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

    SKYVERN MAKES NO WARRANTY REGARDING: (A) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AUTOMATED OUTPUT; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES; (C) THE ACCEPTANCE OR APPROVAL OF ANY FORM SUBMISSION OR APPLICATION; (D) THE ACCURACY OF ANY AI-GENERATED CONTENT OR DECISIONS; OR (E) THE AVAILABILITY OR COMPATIBILITY OF ANY THIRD-PARTY WEBSITE.

    YOU ACKNOWLEDGE THAT YOU USE THE SERVICES AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND INPUTTING ACCURATE INFORMATION AND VERIFYING ALL AUTOMATED OUTPUTS BEFORE SUBMISSION.

    12. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYVERN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

    • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES;
    • ANY ERRORS, INACCURACIES, OR OMISSIONS IN AUTOMATED OUTPUT;
    • REJECTION OR DENIAL OF ANY APPLICATION OR FORM SUBMISSION;
    • ANY ACTIONS TAKEN BY THIRD-PARTY WEBSITES OR SERVICES;
    • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
    • ANY OTHER MATTER RELATING TO THE SERVICES.

    IN NO EVENT SHALL SKYVERN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SKYVERN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

    THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF SKYVERN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

    13. Indemnification

    You agree to defend, indemnify, and hold harmless Skyvern, its affiliates, and their respective officers, directors, employees, agents, licensors, assigns, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

    • Your use of the Services;
    • Your violation of these Terms;
    • Your violation of any third-party website's terms of service or acceptable use policies;
    • Any inaccurate, incomplete, or misleading data you submit through the Services;
    • Your unauthorized submission of third-party personal information;
    • Your unauthorized access to third-party accounts or systems; or
    • Your violation of any applicable law or regulation.

    We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim, to the extent of which the law allows.

    We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

    14.3 Effect of Termination

    Upon termination:

    • Your right to use the Services will immediately cease;
    • We may delete your account and associated data in accordance with our Privacy Policy; and
    • Sections 7, 8, 9, 11, 12, 13, 15, 16, and 17 shall survive termination.

    15. Governing Law and Dispute Resolution

    15.1 Governing Law

    These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

    15.2 Arbitration

    Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

    15.3 Class Action Waiver

    YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

    You waive any right to participate in a class action lawsuit or class-wide arbitration against Skyvern.

    15.4 Time Limitation

    Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

    If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

    No waiver by Skyvern of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

    17.4 Assignment

    You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

    We may provide notices to you via email, posting on the Services, or other reasonable means. You may provide notices to us at support@skyvern.com.

    17.6 No Third-Party Beneficiaries
